The Website has been established to provide information relating to DermLens® products, accessories, educational resources, distribution arrangements, device registration, warranty services and associated products and services.
Nothing contained within the Website or these Terms shall be construed as creating any partnership, joint venture, agency, employment, fiduciary or similar relationship between you and DERMACODE Ltd.
2. Access to the Website
DERMACODE grants you a limited, revocable, non-exclusive and non-transferable right to access and use the Website strictly in accordance with these Terms.
Access to the Website is provided on a temporary basis. Although we shall use reasonable efforts to maintain the availability and functionality of the Website, we do not warrant or guarantee that the Website, or any part of it, will be continuously available, uninterrupted, secure or free from errors, delays or technical faults.

You may print or download reasonable extracts from the Website solely for your own personal use, professional reference, education or internal business purposes, provided that you do not alter the material and that all copyright, trade mark and proprietary notices remain intact.

- (k) create or publish any website, advertisement, social media content, sales material or other communication which falsely suggests any association, approval, sponsorship, endorsement, distributorship or other commercial relationship with DERMACODE Ltd;
- (l) use the Website or any content obtained from it in any manner which infringes the intellectual property rights, privacy rights, confidentiality rights or other lawful rights of DERMACODE Ltd or any third party;
- (m) use the Website in a manner which may damage, dilute, undermine or take unfair advantage of the reputation, goodwill or distinctiveness of DERMACODE Ltd, DermLens® or any associated trade mark or product; or
- (n) engage in any other conduct which we reasonably consider to be harmful to the Website, our business, our customers, our distributors or the DermLens® brand.
Where we reasonably believe that you have breached this section or any other provision of these Terms, we may, without prejudice to any other right or remedy available to us, restrict or block your access to the Website, refuse to process a submission or device registration, preserve relevant evidence and take such legal or regulatory action as we consider appropriate.
5. Device Registration Portal
The Website may include a device registration facility through which purchasers of genuine DermLens® products may submit information for the purposes of device authentication, ownership registration, warranty validation, extended warranty eligibility, product support and related customer services.
The device registration facility does not create a user account, customer account, online profile, login-based portal or continuing contractual right of access to any secure or restricted area of the Website.
A person using the device registration facility may be required to provide information including their name, contact details, product serial number, date of purchase, place of purchase and such other information as may reasonably be required to verify the authenticity, ownership or warranty status of the device.
You warrant that all information supplied through the device registration facility shall be complete, current, accurate and not misleading.
You must not submit false, fabricated, altered, fraudulent or unlawfully obtained information, nor attempt to register any counterfeit, stolen, unauthorised, previously registered or otherwise ineligible product.
DERMACODE Ltd reserves the right to request reasonable supporting evidence, including proof of purchase, photographs, serial-number information, distributor details or any other evidence reasonably required to verify a registration.
We may reject, suspend, cancel or invalidate a device registration where we reasonably believe that the information provided is inaccurate, incomplete, misleading or fraudulent, that the product is counterfeit or unlawfully obtained, or that the registration does not comply with the applicable Warranty Policy.
Registration of a device shall not, by itself, create or extend any warranty, guarantee or contractual right except to the extent expressly provided within the applicable Warranty Policy or other written terms issued by DERMACODE Ltd.
Any personal information submitted through the device registration facility shall be processed in accordance with the DermLens Privacy Notice.
6. Intellectual Property Rights
All intellectual property rights subsisting in or relating to the Website are owned by, or licensed to, DERMACODE Ltd and are protected by the laws of England and Wales together with applicable international copyright, trade mark, database, design and other intellectual property laws.
Unless expressly stated otherwise, DERMACODE Ltd is the sole owner or lawful licensee of all content made available through the Website, including, without limitation, its design, layout, appearance, software, source code, databases, functionality, text, articles, product descriptions, technical specifications, user guides, instructional materials, graphics, icons, illustrations, photographs, videos, animations, audio recordings, brochures, downloadable documents, product packaging, marketing materials, website architecture, user interface, product renders and all other content published on or made available through the Website.
Subject to your compliance with these Terms, DERMACODE Ltd grants you a limited, revocable, non-exclusive, non-transferable and non-sublicensable licence to access and view the Website solely for your own lawful personal, educational or internal business purposes. No ownership, title or proprietary interest in any intellectual property is transferred to you by virtue of your use of the Website.

"DermLens®", together with all associated logos, product names, branding, slogans, graphics, device names and branding elements appearing on the Website, are trade marks owned by or licensed to DERMACODE Ltd unless otherwise indicated.
Nothing contained within the Website or these Terms shall be construed as granting, whether by implication, estoppel or otherwise, any licence or right to use any trade mark, logo, trade name, branding or other distinctive sign belonging to DERMACODE Ltd without our prior written consent.
You shall not use any trade mark or branding belonging to DERMACODE Ltd in connection with any product, service, domain name, business name, social media account, advertisement, publication or promotional activity in a manner that is likely to cause confusion, imply endorsement, dilute the distinctiveness of the trade mark or otherwise prejudice the reputation or goodwill of DERMACODE Ltd.
You shall not register or attempt to register any company name, business name, domain name, social media username, keyword, advertising identifier or other commercial identifier incorporating or confusingly similar to any trade mark owned by DERMACODE Ltd.
Any goodwill arising through unauthorised use of a DERMACODE trade mark shall accrue solely for the benefit of DERMACODE Ltd.

DERMACODE Ltd uses reasonable care to ensure that the information published on the Website is accurate and up to date at the time of publication. However, product specifications, technical information, descriptions, accessories, colours, packaging, availability, pricing and other product-related information may change from time to time without prior notice as part of our ongoing product development and continuous improvement programme.

DERMACODE Ltd reserves the right, at its sole discretion and without incurring liability, to amend, improve, replace, discontinue or withdraw any product, feature, accessory or specification described on the Website at any time.
9. Medical Device Disclaimer
DermLens® products are medical devices intended to assist appropriately trained healthcare professionals during the examination and assessment of skin lesions and other dermatological conditions. They are designed to support, but not replace, professional clinical assessment, independent medical judgement or established standards of patient care.
The information contained on the Website is provided for general informational and educational purposes only and shall not constitute medical advice, clinical guidance, diagnostic advice or treatment recommendations.
Nothing published on the Website should be relied upon as determining the diagnosis, management or treatment of any patient or medical condition.
Healthcare professionals remain solely responsible for exercising their own independent clinical judgement, obtaining an appropriate clinical history, performing any necessary examination, requesting further investigations where appropriate, making diagnostic decisions and determining the most appropriate management for each individual patient.
The use of a DermLens® device does not guarantee the detection, diagnosis, exclusion or identification of any skin lesion, dermatological condition or malignancy. Nothing contained within the Website shall be interpreted as guaranteeing any particular clinical outcome, diagnostic accuracy or therapeutic benefit arising from the use of any DermLens® product.
10. Educational Content
The Website may contain educational articles, clinical images, instructional videos, user guides, technical documents, webinars, case studies, demonstrations and other educational resources relating to dermoscopy, skin cancer recognition, dermatology or the use of DermLens® products.
Such material is provided solely for general educational and informational purposes and should not be regarded as a substitute for formal medical education, professional clinical training, recognised dermoscopy courses or specialist advice.
Whilst DERMACODE Ltd endeavours to ensure that educational material is accurate and reflects current knowledge at the time of publication, medical knowledge and clinical practice continue to evolve. Accordingly, DERMACODE Ltd does not warrant that all educational content will remain complete, accurate, current or applicable to every clinical circumstance.
Clinical photographs, dermoscopic images, patient histories, case studies and demonstrations published on the Website are intended solely to illustrate educational principles and should not be interpreted as representing every possible presentation of a disease or condition, nor should they be relied upon in isolation when making clinical decisions.

11. Product Availability and Specifications

Whilst we use reasonable endeavours to ensure that all product descriptions, specifications, dimensions, weights, technical data, photographs, compatibility information and other product-related content are accurate at the time of publication, such information is provided for general guidance only and should not be relied upon as forming part of any contractual obligation unless expressly incorporated into a separate written agreement.
Minor variations in colour, finish, dimensions, packaging, supplied accessories, product markings or appearance may occur between the images displayed on the Website and the products ultimately supplied. Such variations shall not constitute a defect or misrepresentation.

Nothing contained within the Website shall constitute any warranty, guarantee or contractual promise regarding the clinical performance, diagnostic accuracy or suitability of any DermLens® product for a particular clinical application.
18. Indemnity
You agree to indemnify, defend and keep indemnified DERMACODE Ltd, together with its directors, officers, employees, consultants, contractors, agents, successors and assigns, against all liabilities, claims, proceedings, actions, losses, damages, costs, expenses and legal fees (including reasonable professional costs) arising directly or indirectly from:
- (a) your breach of these Terms;
- (b) your unlawful, negligent or fraudulent use of the Website;
- (c) your infringement of any intellectual property right, confidentiality obligation or other legal right belonging to DERMACODE Ltd or any third party;
- (d) any information submitted by you which is false, misleading, incomplete or fraudulent;

- (f) any act or omission by you which results in legal proceedings, regulatory action or liability being brought against DERMACODE Ltd.
The obligations contained within this clause shall survive termination of your right to access or use the Website.
19. Suspension and Termination of Access
DERMACODE Ltd reserves the right, at its absolute discretion and without prior notice, to suspend, restrict, withdraw or permanently terminate your access to all or any part of the Website where we reasonably consider that you have breached these Terms or where such action is necessary to protect the security, integrity, operation or reputation of the Website or our business.

DERMACODE Ltd reserves the right to amend, update, revise or replace these Terms at any time and without prior notice where we consider this necessary to reflect changes in applicable law, regulatory requirements, business operations, technology, Website functionality or any other legitimate commercial reason.

The remaining provisions of these Terms shall continue in full force and effect notwithstanding the severance, modification or unenforceability of any individual provision.
22. Waiver
No failure, delay or omission by DERMACODE Ltd in exercising any right, power, remedy or privilege arising under these Terms or otherwise at law shall operate as a waiver of that right, power, remedy or privilege, nor shall any single or partial exercise of any such right, power, remedy or privilege prevent or restrict any further exercise of that or any other right, power, remedy or privilege.
Any waiver by DERMACODE Ltd of any breach of these Terms shall be effective only if made expressly in writing and signed by an authorised representative of DERMACODE Ltd. No waiver of any breach shall constitute a waiver of any subsequent breach of the same or any other provision of these Terms.
The rights and remedies available to DERMACODE Ltd under these Terms are cumulative and are in addition to any rights or remedies available under statute, common law or otherwise.
23. Entire Agreement
